CRAWLI ONE — Terms of Service

Version 1.0 Effective Date: May 7, 2026 Last Updated: May 7, 2026

Notice: This Terms of Service document is currently in pre-review legal status. It will be reviewed by qualified legal counsel within 60 days of CRAWLI ONE's commercial launch. Updated versions will be communicated to all account holders via email at least 14 days before becoming effective.

1. Agreement to Terms

By purchasing, downloading, installing, activating, or using CRAWLI ONE ("the Software"), or by signing up for any waitlist or interest list associated with the Software, you ("User," "you," "your") agree to be bound by these Terms of Service ("Terms," "Agreement") with Xnode Agentic LLC, a Wyoming limited liability company ("Company," "we," "us," "our"). If you do not agree to these Terms, do not purchase, download, install, activate, or use the Software, and do not sign up for any associated waitlist or interest list.

These Terms constitute a legally binding agreement between you and Xnode Agentic LLC governing your use of CRAWLI ONE and any associated services, websites, applications, waitlists, or features.


2. The Software and Service

CRAWLI ONE is a desktop software application for personal AI conversation archiving, processing, and management. The Software is provided as a downloadable executable distributed via the Company's website and approved distribution channels.

2.1 Tier Structure

CRAWLI ONE is offered through the following tiers:

  • Free Tier — Basic functionality with usage quotas
  • Developer Tier — Subscription-based, expanded functionality
  • Premium Tier — Subscription-based, full functionality
  • Early Access — One-time purchase ($5 USD), capped at 250 total members, granting Diamond Member status and the benefits enumerated in Section 4
  • Reserved Waitlist — One-time purchase ($10 USD) granting priority access at full launch with $10 credit applied to first subscription month
  • Waitlist — Free email signup for launch notification

2.2 Tier Designations Are Customer Categories Only

The tier names "Early Access," "Reserved Waitlist," "Waitlist," "Developer," "Premium," and "Diamond Member," along with any associated badges, marks, or designations (including but not limited to Diamond, Gold Star, and Silver verified-checkmark badges), are customer category designations only. They do not, under any interpretation, confer:

  • Equity, ownership interest, or shareholder rights in Xnode Agentic LLC, CRAWLI ONE, or any related entity, product, or asset
  • Intellectual property rights in the Software, its source code, branding, trademarks, or any associated materials
  • Decision-making authority, voting rights, or governance participation in Company operations
  • Profit-sharing, revenue share, or royalty rights
  • Employment, contractor, or partnership relationships with the Company
  • Co-founder status, advisor status, or any corporate role
  • Authority to represent, bind, or speak on behalf of the Company
  • Any rights beyond the specific customer benefits enumerated in these Terms

Tier badges are visual customer-tier indicators rendered in the Software interface, on activation pages, and in Company communications. The "verified checkmark" element of these badges is a Company-issued visual design element only and does not represent third-party identity verification or professional credentialing.


3. Purchase, Payment, and Refunds

3.1 Payment Processing

All payments are processed through Stripe, Inc. By making a purchase, you agree to Stripe's Terms of Service in addition to these Terms. The Company does not store payment card information directly.

3.2 Pricing

All prices are listed in U.S. Dollars unless otherwise specified. Prices are subject to change with reasonable notice; existing one-time purchases are honored at the rate paid, and active subscriptions remain at their existing rate through their current billing period.

3.3 Refund Policy

The Company offers a fourteen (14) day no-questions-asked refund window for all purchases (one-time and subscription) from the date of purchase. Refunds within this window are processed through Stripe. To request a refund, contact the Company at info@xnodeagentic.com with your order details, or initiate the refund directly through Stripe per Stripe's refund process.

After the 14-day window, refunds are at the sole discretion of the Company and may be granted in cases of:

  • Documented technical failure preventing Software use
  • Billing errors or unauthorized charges
  • Other circumstances at the Company's discretion

Refunds for revoked accounts (per Section 9) are not available.

The Stripe-administered 14-day refund window is the exclusive refund mechanism for purchases of the Software. The Company makes no other refund commitments.

3.4 Subscription Terms

Subscription tiers (Developer, Premium) are billed monthly on a recurring basis until canceled. Cancellation takes effect at the end of the current billing period; no proration is provided for partial periods. Users may cancel at any time through the Stripe Customer Portal.

3.5 One-Time Purchase Terms

Early Access ($5) and Reserved Waitlist ($10) are one-time purchases. They are not subscriptions and do not auto-renew.


4. Early Access Tier — Specific Terms

The Early Access tier is offered to a limited number of purchasers (capped at 250 total). Early Access purchasers receive Diamond Member status and the following benefits:

  1. Access to the Software at no additional cost beyond the $5 purchase price, for the operational lifetime of the Software (see Section 4.3)
  2. Diamond Member Credit of $10/month applied to any subsequent Developer or Premium subscription, as long as the account remains in good standing per these Terms
  3. One (1) month of free Developer tier access at the Software's commercial launch, applied automatically
  4. Diamond badge with verified checkmark designation in the Software interface, on activation pages, and in Company communications

4.1 Diamond Member Designation

"Diamond Member" is the customer-tier designation for Early Access purchasers. It is a marketing label and customer category only. It does not confer any of the rights excluded in Section 2.2.

The Diamond Member Credit is a recurring $10/month price reduction applied to qualifying subscription invoices. Despite the term "Credit," it is not a credit balance, prepayment, store credit, or transferable benefit. The Credit has no cash value, does not accumulate, cannot be redeemed except as a reduction on subscription invoices, and cannot be assigned or transferred to another account or person.

4.2 Cap Enforcement

The 250-purchaser cap on Early Access is enforced atomically at purchase. If a purchase attempt is made after the cap is reached, the transaction will be automatically refunded in full and no Early Access benefits will be issued. The Company is not liable for any consequential damages arising from cap-enforced refunds.

4.3 Operational Lifetime of the Software

Early Access access and Diamond Member benefits exist only while the Software is offered by the Company. The Company reserves the right to discontinue the Software, modify its functionality, or change its delivery model with reasonable advance notice (no less than ninety (90) days) communicated via the email address associated with the purchaser's account.

In the event of Software discontinuation:

  • Existing Early Access purchasers are not entitled to refunds beyond the standard 14-day window
  • The Company will provide reasonable transition options where commercially feasible
  • Diamond Member benefits do not survive Software discontinuation

4.4 Diamond Member Credit — One Application Per Period

The Diamond Member Credit is applied at the rate of one application per 30-day period per Early Access account. Attempts to subscribe, cancel, and resubscribe within a 30-day window to apply the Credit multiple times will result in subscription cancellation and a notification email. The 30-day measurement begins from the most recent subscription start date.

This anti-abuse provision is enforced automatically and is not subject to discretionary override.


5. Reserved Waitlist Tier — Specific Terms

The Reserved Waitlist tier is a $10 USD one-time purchase that grants:

  1. A reserved spot in the queue for priority redemption at the Software's commercial launch
  2. A $10 credit applied to the first month of any Developer or Premium subscription redeemed at launch
  3. Gold Star badge with verified checkmark designation in Company communications and on activation pages

5.1 No Software Access Pre-Launch

Reserved Waitlist purchase does NOT grant access to the Software during the pre-launch period. Reserved Waitlist members receive the Software only when they redeem their reservation at commercial launch by activating a subscription with the $10 credit applied.

5.2 Operational Lifetime

Reserved Waitlist benefits exist only while the Software is offered by the Company and are subject to the same operational lifetime provisions as Section 4.3.

In the event of Software discontinuation prior to commercial launch redemption:

  • Reserved Waitlist members will receive a refund of the $10 reservation deposit, processed through Stripe
  • No other compensation or transition benefit is provided

5.3 Position Display

Queue position is displayed in fuzzed form (e.g., "Top 100" or "Reserved") and not as exact position numbers. Position is not a guarantee of redemption order at launch; redemption is processed in waves at the Company's discretion based on operational capacity.


6. Waitlist — Specific Terms

The Waitlist is a free signup that grants:

  1. Email notification when the Software reaches commercial launch
  2. Silver verified-checkmark designation for early supporters in Company communications

6.1 No Purchase or Access

Waitlist signup does not constitute a purchase, does not grant access to the Software, and creates no financial obligation by either party.

6.2 Operational Lifetime

Waitlist benefits exist only while the Software is offered by the Company. The Silver checkmark designation and any associated communications cease in the event of Software discontinuation. No compensation or transition benefit is provided to Waitlist members in such event, as no payment was received from such members.

6.3 Email Communications

By signing up for the Waitlist, you consent to receive email communications from the Company regarding the Software, including launch announcements, updates, and related Company offerings. You may unsubscribe at any time via the unsubscribe link in any Company email.


7. Account and License

7.1 License Grant

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to install and use CRAWLI ONE on devices you own or control, solely for your personal or business use as permitted by your tier.

7.2 License Key Binding

License keys issued for paid tiers (Early Access, Reserved Waitlist, Developer, Premium) are bound to the email address used at purchase ("Licensed Email"). License activation requires verification that the account email matches the Licensed Email.

7.3 Non-Transferability

License keys are personal and non-transferable. You may not:

  • Share, transfer, sell, sublicense, or assign your license key to any other person or entity
  • Use a license key issued to another person
  • Allow another person to activate or use the Software under your license
  • Create multiple accounts using different email addresses to circumvent tier limits, the Early Access cap, quotas, or trial periods

License sharing constitutes a material breach of these Terms.

7.4 Account Security

You are responsible for maintaining the confidentiality of your license key and account credentials. The Company is not liable for losses resulting from your failure to secure these credentials.


8. Acceptable Use

8.1 Prohibited Activities

You agree not to:

  • Use the Software for any unlawful purpose or in violation of any applicable laws or regulations
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
  • Modify, adapt, or create derivative works of the Software
  • Remove, alter, or obscure any proprietary notices, branding, or trademarks
  • Use the Software to develop, market, or distribute a competing product
  • Bypass, disable, or circumvent any security, license verification, tier restriction, or quota mechanisms
  • Conduct chargeback fraud, payment fraud, or fraudulent disputes
  • Use automated systems, bots, or scripts to interact with the Software in ways not intended by the user interface
  • Engage in activity that interferes with or disrupts the Software's operation or other users' ability to use it
  • Misrepresent your relationship with the Company (e.g., claiming co-founder, employee, or affiliate status)

8.2 User-Generated Content

The Software processes user-provided files and conversation data locally on your device. The Company does not store, transmit, or access this data unless explicitly required for Company-hosted services (which are clearly identified). You retain all rights to your data.


9. Enforcement and Termination

9.1 Right to Revoke Without Refund

The Company reserves the right to revoke any license, terminate any account, and discontinue access to the Software, without refund and without prior notice, in the event of:

  • Violation of any term in this Agreement, including but not limited to Section 7.3 (Non-Transferability) and Section 8.1 (Prohibited Activities)
  • Fraudulent payment activity, including chargebacks filed without prior refund request
  • Multiple account creation to circumvent tier limits, the Early Access cap, quotas, or trial periods
  • Misrepresentation in account creation, purchase, or support communications
  • Use of the Software in a manner that exposes the Company to legal liability or reputational harm
  • Other conduct deemed by the Company, at its sole discretion, to violate the spirit or letter of these Terms

9.2 Detection of Violations

Violations may be detected through:

  • Automated monitoring of license activation patterns, tier usage, and payment activity
  • Manual review by Company personnel
  • Third-party reports
  • Stripe-issued fraud alerts or chargeback notifications

Determination of whether conduct constitutes a violation is at the sole discretion of the Company.

9.3 Conditional Diamond Member Benefits

All Diamond Member benefits (including the Diamond Member Credit and Early Access tier access) are conditional on the account remaining in good standing per these Terms. Revocation of an account terminates all associated Diamond Member benefits without obligation of refund.

9.4 Effect of Termination

Upon termination or revocation:

  • Your license key becomes invalid
  • The Software will refuse to verify your account on next launch
  • All tier benefits, including Diamond Member benefits, are forfeited
  • The Company retains the right to deny future purchases or account creation by you

10. Intellectual Property

10.1 Company Ownership

Xnode Agentic LLC owns all right, title, and interest in CRAWLI ONE, including all source code, executables, designs, branding, trademarks, logos, documentation, and associated materials. These Terms grant you a limited license to use the Software, not any ownership interest.

10.2 Trademarks

"CRAWLI ONE," the CRAWLI ONE logo, "Xnode Agentic," and any associated branding are trademarks of Xnode Agentic LLC. You may not use these trademarks without prior written permission.

10.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Software become the property of the Company and may be used without compensation or attribution.


11. Disclaimers and Limitations

11.1 "As Is" Provision

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

11.2 No Guarantee of Continuous Service

The Company does not guarantee that the Software will be uninterrupted, error-free, or available at any particular time. Scheduled maintenance, updates, and unforeseen technical issues may temporarily affect availability.

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL XNODE AGENTIC LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of, or inability to access or use, the Software
  • Any conduct or content of any third party related to the Software
  • Unauthorized access to or alteration of your data or transmissions
  • Any other matter relating to the Software

THE COMPANY'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

For users who have not made any payment to the Company (including but not limited to Waitlist members and Free Tier users), the Company's total liability is zero dollars ($0).

11.4 Refund as Exclusive Remedy

The 14-day Stripe-administered refund described in Section 3.3 is the exclusive monetary remedy available for dissatisfaction with the Software. No other monetary, punitive, or compensatory damages are available beyond the limitation in Section 11.3.

11.5 Essential Purpose

The limitations of liability in this Section 11 are an essential element of the bargain between you and the Company. You acknowledge that the Software would not be provided to you absent these limitations.


12. Indemnification

You agree to indemnify, defend, and hold harmless Xnode Agentic LLC, its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the Software
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right
  • Any claim that your conduct caused damage to a third party

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. Xnode Agentic LLC is a Wyoming limited liability company and these Terms reflect that jurisdiction.

13.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Software shall be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in Denver, Colorado, in the English language. Judgment on the arbitrator's award may be entered in any court having jurisdiction.

13.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST XNODE AGENTIC LLC.

13.4 Small Claims Exception

Notwithstanding Section 13.2, either party may bring an individual action in small claims court for disputes within the jurisdictional limits of that court.

13.5 Time Limit

Any claim arising out of or relating to these Terms must be filed within one (1) year after the cause of action arose. Otherwise, the claim is permanently barred.


14. Changes to These Terms

The Company reserves the right to modify these Terms at any time. Material changes will be communicated to account holders via email at least fourteen (14) days before becoming effective. Continued use of the Software after the effective date of revised Terms constitutes acceptance of those Terms.


15. General Provisions

15.1 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall otherwise remain in full force and effect.

15.2 No Waiver

The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15.3 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms agreed to in writing, constitute the entire agreement between you and the Company regarding the Software, superseding any prior agreements or representations.

15.4 Assignment

You may not assign or transfer these Terms or any rights hereunder without the prior written consent of the Company. The Company may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

15.5 Force Majeure

The Company shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

15.6 Notices

Notices to the Company shall be sent to: info@xnodeagentic.com

Notices to you shall be sent to the email address associated with your account. Notices are effective upon receipt for company notices and upon sending for user notices.

17. Acknowledgment

BY PURCHASING, DOWNLOADING, INSTALLING, ACTIVATING, OR USING CRAWLI ONE, OR BY SIGNING UP FOR ANY ASSOCIATED WAITLIST OR INTEREST LIST, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM.

YOU SPECIFICALLY ACKNOWLEDGE THAT:

  1. Tier designations (including Early Access, Reserved Waitlist, Waitlist, Diamond Member, and any associated badges) are customer category indicators only and confer no ownership, equity, or governance rights.
  2. Diamond Member benefits exist only for the operational lifetime of the Software and are conditional on account good standing.
  3. The Software may be discontinued by the Company with 90 days' notice, and benefits do not survive discontinuation (except as specified for Reserved Waitlist refunds in Section 5.2).
  4. Disputes will be resolved through binding individual arbitration in Denver, Colorado, under Wyoming law, not in court (except small claims), and not as a class action.
  5. The Company's total liability is limited as set forth in Section 11.3, with zero liability for users who have made no payment.
  6. License keys are non-transferable and account sharing is prohibited.
  7. The Company reserves the right to revoke licenses and terminate accounts without refund for violations of these Terms.
  8. The 14-day Stripe-administered refund is the exclusive monetary remedy beyond the liability cap.
